By accessing or using the website at https://www.axdigitalagency.comor engaging AlphaX Digital Agency LLC (“XDigital”, “we”, “us”) for any services, you agree to be bound by these Terms of Service. If you do not agree, do not use our website or services.

XDigital provides web development, SaaS development, Shopify development, AI integration, SEO, migration, and related digital services. The specific scope, deliverables, timeline, and fees for any client engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties.

We reserve the right to decline any project request at our discretion.

You agree not to:

• Use the website for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorised access to any part of our systems or infrastructure.
• Scrape, harvest, or otherwise extract data from the website without prior written consent.
• Transmit any malicious code, spam, or unsolicited communications via our contact forms.

All content on this website — including text, graphics, logos, and code — is the property of AlphaX Digital Agency LLC and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

For client projects, intellectual property ownership is governed by the individual project agreement. Our standard position is full IP transfer to the client upon final payment — no licensing fees, no lock-in.

All pricing is agreed in writing before work begins. Unless otherwise stated in the project agreement:

• A deposit (typically 50%) is required before work commences.
• The remaining balance is due upon project completion.
• Invoices not paid within 14 days of the due date may incur a late fee of 2% per month on the outstanding balance.

We operate a fixed-price model — no hidden fees or surprise invoices. Scope changes must be agreed in writing and may affect pricing.

The number of included revision rounds is defined in each project agreement. Requests that fall outside the agreed scope will be quoted and billed separately. All change requests must be submitted in writing.

To the fullest extent permitted by law, XDigital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of our website or services — even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from a project engagement shall not exceed the total fees paid by the client for that specific project.

This website and its free tools (including the AI audit) are provided “as is” without warranties of any kind, express or implied. Audit scores are illustrative estimates and should not be construed as professional assessments or guarantees of performance.

We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

Our website may contain links to third-party websites. These links are provided for convenience only. We have no control over the content or practices of third-party sites and accept no responsibility for them.

These Terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in writing.

Either party may terminate a project engagement by giving 14 days written notice. In the event of termination, the client will be invoiced for all work completed to date at the agreed pro-rata rate. Deposits are non-refundable once work has commenced unless otherwise agreed.

We reserve the right to update these Terms at any time. The “Last updated” date will reflect the most recent revision. Continued use of the website after changes constitutes acceptance of the updated Terms.
